Ad Creative Design
1. Initial Payment
A non-refundable deposit equal to fifty percent (50%) of the total website development fee is required before Ezrann Digital will commence any design, development, consultation, or project-related work.
2. Final Payment
The remaining balance of the website development fee shall be due upon project completion and prior to the website being published or connected to a live domain. Ezrann Digital reserves the right to withhold the launch, transfer, or delivery of any website until all outstanding balances have been paid in full.
3. Monthly Website & Social Media Management Services
Website Management Services and Social Media Management Services are each subject to a minimum three (3) month service commitment beginning on the date services commence, unless otherwise agreed to in writing by Ezrann Digital.
Recurring service fees are due on the 1st day of each calendar month. The Client agrees to maintain a valid credit or debit card on file for the duration of all recurring services.
If payment has not been received by the 5th day of the month, Ezrann Digital is authorized to automatically charge the payment method on file for any outstanding balance due.
Accepted methods of payment include cash, check, credit card, and debit card. A three percent (3%) processing fee will be assessed on all credit and debit card transactions.
Failure to remit payment may result in the suspension or termination of website management, social media management, and any related recurring services until the account has been brought current.
4. Cancellation Policy
A minimum of thirty (30) days' written notice is required to cancel any recurring monthly service.
Failure to provide the required thirty (30) day written notice shall result in the Client remaining financially responsible for one additional monthly billing cycle.
If the Client elects to terminate services before fulfilling the required initial three (3) month commitment, the Client shall remain liable for payment of all remaining monthly fees due under the initial commitment period.
Upon completion of the initial three (3) month term, services shall automatically continue on a month-to-month basis unless terminated in accordance with the cancellation provisions contained herein.
5. Third-Party Services & Fees
The Client acknowledges that certain services required for the operation, maintenance, or marketing of a website are provided by independent third-party vendors and are not included in Ezrann Digital's service fees unless expressly stated in writing.
Third-party services may include, but are not limited to:
Domain registration and renewals
Website hosting
Website platform subscriptions
Premium themes and plugins
Website applications and software subscriptions
Business email hosting
SSL certificates
Search engine optimization (SEO) tools
Advertising and marketing expenses
Social media advertising and boosted posts
Any other third-party software or services requested by the Client
All third-party fees, subscription renewals, licensing fees, advertising expenses, and related costs are the sole responsibility of the Client and will be billed separately unless otherwise specified in writing.
6. Suspension of Services
Ezrann Digital reserves the right to suspend, restrict, disable, or terminate services, including but not limited to website management, social media management, maintenance, updates, and support, for any account that becomes delinquent until all outstanding balances have been paid in full.
Ezrann Digital shall not be liable for any loss of business, revenue, rankings, traffic, leads, or other damages resulting from the suspension of services due to non-payment.
7. Collection of Outstanding Balances
The Client agrees to pay all fees due under this Agreement. Any unpaid balance remaining after its due date may be subject to collection efforts.
The Client shall be responsible for all reasonable costs incurred by Ezrann Digital in collecting delinquent accounts, including, but not limited to, collection agency fees, court costs, filing fees, interest where permitted by law, and reasonable attorney's fees.
8. Acceptance of Terms
By submitting a deposit, approving a proposal or invoice, signing a service agreement, or utilizing any services provided by Ezrann Digital, the Client acknowledges that they have read, understood, and agree to be legally bound by these Financial Terms & Conditions.
These terms shall remain in effect for the duration of all services provided by Ezrann Digital unless otherwise modified in writing and signed by both parties.
